Terms of Service

Plain-English terms for working with Yarsa and using your client dashboard.

Last updated November 1, 2026

Draft for legal review. This text has not been approved yet and is not in force.

1. About these terms

These terms apply when a business (“you”) works with Yarsa Technologies (“Yarsa”, “we”) or uses the Yarsa client dashboard. Each project also has a written proposal that sets out its scope, timeline and fixed fee. If the proposal and these terms disagree, the proposal wins for that project.

By signing a proposal, choosing a plan or using the dashboard, you agree to these terms on behalf of your business.

2. The work

We agree the scope and a fixed fee with you before work starts. Anything outside that scope is quoted separately and only done after you approve it. Requests sent through the dashboard show the cost on your plan, if any, before you send them, and urgent work is only charged when you choose it.

You give us the content, access and decisions the work needs, on time, and confirm you have the right to use what you give us (text, photos, logos, data). Delays on your side can move our dates.

3. Plans, payment and taxes

Care plans are billed monthly or yearly in advance, in Canadian dollars, plus HST. Prices and what each plan includes are shown in your dashboard before you choose. Project fees are invoiced as the proposal says.

  • Invoices are due within 15 days unless the invoice says otherwise.
  • Moving to a bigger plan is charged for the days left in the current period; moving down takes effect at the next charge date.
  • You can pause or cancel a plan from your dashboard. Cancelling stops future charges; the plan keeps working until the end of the period already paid.
  • If an invoice is more than 30 days overdue, we may pause work (never your live website) until it is paid.

4. Who owns what

Once you've paid for it, you own what we make specifically for you: your website's design and content, your brand assets, and your automations' set-up. Your domain, accounts and data are always yours, and we'll hand them over if you leave. We waive our moral rights in the work we assign to you, so you can change it freely.

We keep ownership of our own tools, templates and know-how that existed before your project or that we use across clients, and give you a permanent licence to use them as part of what we delivered. Third-party software and services stay under their own licences.

5. Using the dashboard

  • Keep access to your work email safe: sign-in links are sent there.
  • Only people at your business you authorise may use your account.
  • Don't try to reach other clients' information or disrupt the service.
  • Information your business collects through tools we run for you (for example, enquiries from your website) belongs to you; you're responsible for having the right to collect it. Our Privacy Policy explains how we handle it.

6. Confidentiality

Each of us keeps the other's non-public business information confidential and uses it only for the work, during the engagement and after it ends.

7. Third-party services

Your project may rely on services such as hosting, Google Workspace, Calendly, Stripe or Shopify. Their availability and terms are theirs, not ours; we'll tell you when a change on their side affects your set-up.

8. Warranties and liability

We do the work with professional care and fix defects in what we built, at no charge, when you report them within 30 days of delivery. Beyond that, the services are provided as described in your proposal, without other warranties, to the extent the law allows.

Neither of us is liable for indirect or consequential losses, such as lost profits. Our total liability for any claim is limited to the fees you paid us in the 12 months before it arose. Nothing here limits liability that can't be limited by law.

9. Ending the relationship

Either of us can end a plan with notice through the dashboard or by email. If a project ends early, you pay for work done up to that point, and we hand over everything you've paid for, along with your accounts and data.

10. Governing law and changes

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. We'll try to resolve any disagreement by talking first; if that fails, the courts of Ontario decide it.

We may update these terms; we'll email clients at least 30 days before a change that affects them. Questions: info@yarsa.ca.
